You must secure a certified copy in your records at all times for a variety of reasons. For example, you will need this to open a bank account. $11 Business License: Nevada Legislature requires all Nevada Corporations to have a State Business License issued by the Nevada Department of Taxation. $25 Initial officers List: Pursuant to NRS 78.150, each Corporation organized under the laws of Nevada shall file, before the first day of the second month after incorporation, a list of officers and directors and a designation of its resident agent and annually thereafter indicating any change of officers, if there is a change. This account is solely for the benefit of the Corporation and can be used in conjunction with an Internet merchant account, for example, for direct deposits into said account. Every Nevada Corporation should have a Nevada Bank Account to establish presence in Nevada. We have made it as simple as possible for you to open a bank account without ever setting foot in Nevada. Simple and Easy. Money Market Account: Online banking, official and FDIC backed, provides excellent business accounts at lower rates and higher return than most other Financial Institutions with multiple branches. The beauty of it, is that you will not need to set foot in Nevada to open the account. You'll be sent signature cards and bank documentation and all your banking needs will be done via the power of the net. It is mandatory that your Corporation secure a Federal Employer's Tax Identification Number. We will provide the necessary forms, complete the appropriate information thereon and submit them to the required entity for issuance of your corporation's identification number. All new corporations should obtain a federal tax identification number. we can prepare the appropriate forms for your corporation for a nominal fee.
A Resident Agent is a mandatory requirement when filing in the State of Nevada, and that person need not be an attorney. Your Resident Agent is anyone who is physically available to receive personally messenger documents, such as the potential service of process of a law suit, for legality reasons, and must be located within the State. The upside to all of this is the fact that you don't have to rent office space to legally have a presence in the State of Nevada so long as you have a physical address (your Resident Agent) to forward your mail and an actual person to accept service of process, you are legal. (Obviously, if you are a resident of the State of Nevada, or know someone who is, then this is not a requirement for your incorporation as you may very well opt to accept service yourself or have someone you know do so in the event it becomes necessary.) Nevada laws require that out-of-state corporations maintain a resident agent within Nevada's borders. Corporate Seal: Your corporate seal consists of an actual steel embosser for evidencing your authentic corporate transactions by placing the embosser on your corporate minutes, for example, in an effort to open a corporate bank account.
